Terms of Service

Last updated 2026-09-11

These Terms of Service ("Terms") are an agreement between you and Kaumodaki Corporation, a Texas corporation doing business as Ailato ("Ailato", "we", "us"). They govern your use of ailato.ai, the Ailato Reader desktop app, the specialist console and related services (the "Service"). By creating an account, or by using the Service, you agree to these Terms and to our Privacy Policy. If you are accepting on behalf of a company, you confirm that you can bind it, and "you" means that company.

1. The Service

Ailato lets an account owner create a session for a sales or support call. A rep reads the meeting's own live transcript in a private window on their desktop, and one or more specialists follow along in a browser, scroll the rep's view and message the rep. Ailato does not record, store or transcribe your meetings: the transcript comes from the meeting tool you already use, and it passes through Ailato in memory only while a session runs.

2. Eligibility and accounts

  • You must be at least 18 and able to form a binding contract, and you must use the Service for business purposes.
  • Give us accurate information and keep it up to date. Keep your password secret; you are responsible for everything done with your account.
  • Reps and specialists join with one-time codes. Send each code only to the person it is for. You are responsible for the people you invite and for how they use the Service.
  • Tell us right away at our support address if you think your account or a code has been misused.

3. Your responsibilities on calls

You are responsible for using the Service lawfully and in line with the rules of the meeting tools and transcript services you use. In particular, you agree to:

  • have the right to access and display any transcript you open in the Service, and follow the terms of the service that produces it;
  • get any notices and consents that the law, your contracts or the other participants require for transcription, for others to read along, or for anyone to assist you during a call;
  • answer honestly if someone on a call asks whether you are being assisted, and never use the Service to deceive, defraud or impersonate anyone.

4. Acceptable use

You will not, and will not let anyone else:

  • use the Service for anything illegal, harmful, fraudulent or infringing, or to harass anyone;
  • use the Service to take or share information you have no right to, or to breach confidentiality obligations;
  • try to get into accounts, sessions or systems you are not authorised to use, or probe, scan or test the Service's security without our written permission;
  • interfere with the Service, overload it, or get around its limits or security measures;
  • copy, modify, reverse engineer or resell the Service, except as the law expressly allows;
  • use the Service to build a competing product.

We may suspend or limit access when we reasonably believe these Terms are being broken or the Service or other users are at risk.

5. Your content

"Your content" is what you or your invitees put into the Service: account and session details, names, links, messages and files you send us. You keep all rights to it. You give us a limited permission to host, process and transmit it only as needed to provide, secure and support the Service. You confirm you have the rights needed to share it with us.

6. Our property and feedback

The Service, its software, design and brand belong to Ailato and its licensors. We give you a limited, non-exclusive, non-transferable right to use the Service under these Terms while your account is in good standing. If you send us ideas or feedback, we may use them without any obligation to you.

7. Fees

The Service is currently offered without charge during its early-access period. We may introduce paid plans or usage-based credits. We will tell you before any charge applies to you, and paid features will have their own pricing and refund terms, shown before you buy.

8. Early access, changes and availability

The Service is in active development. Features may change, be added or be removed, and it may sometimes be unavailable. We may update these Terms; if a change is material we will give account owners notice by email or in the Service before it takes effect. Using the Service after the change means you accept the new Terms.

9. Third-party services

The Service works alongside meeting tools, transcript providers and other services we do not control. Their terms and privacy policies apply to your use of them, and we are not responsible for them or for changes they make that affect the Service.

10. Suspension and termination

You can stop using the Service at any time and ask us to close your account. We may suspend or end your access if you break these Terms, if the law requires it, or if we stop offering the Service, with notice where reasonable. Sections that by their nature should survive — including 5, 6 and 11 to 14 — survive termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT A TRANSCRIPT WILL BE COMPLETE OR ACCURATE, OR THAT ANY CALL WILL HAVE A PARTICULAR OUTCOME.

12. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, AILATO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DEALS, DATA OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AND ONE HUNDRED US DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITS, SO THEY MAY NOT ALL APPLY TO YOU.

13. Indemnity

You will defend and indemnify Ailato and its officers, employees and agents against claims, losses and costs (including reasonable legal fees) arising from your content, your use of the Service, your invitees' use of it, or your breach of these Terms or of the law — including any failure to give notices or obtain consents described in section 3.

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas and applicable US federal law, without regard to conflict-of-law rules. Any dispute will be brought only in the state or federal courts located in Texas, and both parties consent to their jurisdiction. Before filing a claim, each party will try in good faith to resolve the dispute informally for at least 30 days after written notice.

15. General

These Terms and the Privacy Policy are the whole agreement between you and us about the Service. If a provision is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.

16. Contact
